1. INTRODUCTION/GENERAL
These terms of sale apply to all deliveries of VWR, part of Avantor (hereinafter referred to as VWR or the seller) to the customer (hereinafter referred to as the buyer or the buyer), unless otherwise agreed in writing. Unless otherwise stated in these conditions, the Purchase Act of May 13, 1988 no. 27. VWR is certified in accordance with ISO 9001:2015, ISO 14001:2015 and OHSAS 18001:2007.

2. LEVER
Delivery takes place in accordance with further agreement, offer, tender, etc.

VWR delivers CIP (Carriage and Insurance Paid) to the customer in accordance with INCOTERMS 2010. This means that transport and transport insurance are provided by VWR, but shipping and insurance costs, as well as additional costs for refrigerated and frozen packaging and dangerous goods, are borne by the customer.

The delivery time is otherwise derived from the provisions of the Procurement Act, so delivery is considered completed when the goods are handed over to an independent carrier. When the seller takes over the goods himself or the buyer takes over the goods from the seller, the delivery is made by handover to the buyer. During delivery, the risk of accidental destruction of the item passes to the customer. Damages or defects that are visible upon receipt of the goods must be immediately reported to the driver and marked on the waybill with the driver's signature. VWR should then be notified by phone, email or via no.vwr.com. If this is not done, it is the duty of the advertiser to prove that the damage or defect occurred before receiving the goods. If this cannot be proven, the goods will be deemed to have been delivered in perfect condition.

If the customer cannot collect the article/item at the agreed time, storage will be organized at the expense and risk of the customer. If the seller needs to install the item, the buyer is obliged to prepare the installation location of the equipment, including ensuring the necessary technical solutions such as approved electricity and water supply, drainage and other necessary connections and the like.

If the seller has to prepare the installation site without prior arrangement or if the seller has to hire additional crew due to construction conditions, it will be at the buyer's expense and risk. The seller is not responsible for errors or delays that may occur as a result of defects in installations for which the buyer is responsible. All shipping is at the buyer's risk.

3. STAVKA/PROIZVOD
All product and/or service information provided by Seller's suppliers is tentative and should be verified prior to ordering. Products change frequently and therefore specifications may differ from what is stated in advertisements, circulars, etc. Information is binding only to the extent that such information is directly and expressly stated in the contract between the parties.

4. PRICES
All listed prices are ex. VAT, environmental charge, postage, insurance and all additional outer packaging such as boxes, cartons, etc. Installation and commissioning (including operating instructions, etc.) as well as training are not included in the listed prices, but must be negotiated especially with individual delivery. Shipping costs are charged in addition to the agreed purchase price both when sent by an independent carrier and when the company's own distribution is reserved. Unless otherwise agreed, the seller will insure the sale item during transport at the buyer's expense. If in the period between the offer/order and the date of delivery, changes in public duties and taxes, environmental protection fees are adopted or there is a change in the currency relationship of the seller's supplier and the seller by more than two percentage points. , the seller has the right to collect the entire change from the buyer at increased costs, and the buyer has the right to have the entire change recognized at the hands of the seller at lower costs.

If the buyer wants to change the contract, the seller has the right to demand a change in the purchase price and possibly a change in the schedule. Such changes must be made in writing.

5. PAYMENT
The contract amount is invoiced upon delivery and is due for payment in accordance with the agreed credit period. Contracted partial deliveries are invoiced for each individual partial delivery.

The credit period is 14 days, unless otherwise agreed. No loan costs are incurred during this period.
For large deliveries, the contract amount is invoiced as follows:

30% of the contract amount + VAT when the sales contract is concluded, 60% when the item(s) is forced and the last 10% when the assembly is completed.

Large deliveries mean deliveries over NOK 500,000.

In the event of a delay due to circumstances for which the buyer is responsible (access to the facility, necessary installations, etc.), payment must be made in accordance with the originally planned schedule. If the buyer requires a bank guarantee for his payments, the buyer will be charged for this. In case of late payment, the customer is charged late interest of 1% per month.

6. RIGHT OF COMPLAINT AND WARRANTY
The customer has the right to claim only for defects caused by production and material defects on parts that are defined as warranty parts by the manufacturer.

The right to complaint and warranty for the first 12 months includes defective parts and work, and during this period the seller undertakes to repair and replace defective parts. This right expires 12 months after delivery. The right to complain does not include regular maintenance of the product(s) or upgrades etc. It is preferred that the defective equipment is sent to a VWR workshop for repair and shipping to and from the seller organized by VWR.

In the event of a delivery delay due to conditions on the customer's side, the right to claim runs from the day the delivery should have been made. The right to complain ends if connections or interventions have been made on the item without the consent of the seller. The same applies if the damage occurs as a result of unprofessional or improper use, insufficient maintenance, an error in the supply of electricity and water or other external influences or if the payment was not made in accordance with the contract.

For equipment with a warranty longer than 12 months, only parts that are defined as warranty parts by the manufacturer are covered, the work is paid for in full by the customer.Delivery to and from the seller takes place at the expense and risk of the buyer. If such repairs are performed on the customer's premises, the customer will be billed for labor, business travel, accommodation, meals, plus travel time based on current hourly rates.

7. DEADLINE FOR COMPLAINTS
Upon receipt, the buyer is obliged to inspect the item thoroughly and report obvious defects immediately, and no later than within 7 calendar days.
Defects that can only be discovered after installation and/or commissioning must be reported as soon as the defect is discovered. This also applies when the customer later discovers the defects in the product that led to the complaint.

8. REPAIR
Repairs after the expiration of the complaint period or defects that do not fall under the customer's right to complaint are paid in full by the customer. This is a simple repair contract, where the buyer bears all costs, including shipping to and from the seller's workshop, travel costs, labor and parts. For such repairs, the buyer/customer has the right to complain within 3 months for the defect(s) that have been rectified, from the time the item is repaired and made available to the customer for collection or from the time it is handed over to an independent carrier for shipment to the customer. The right to complain ends if connections or interventions have been made on the item without the consent of the seller. The same applies if damage occurs as a result of unprofessional or improper use, insufficient maintenance, failures in the supply of electricity and water or other external influences or if payment is not made in accordance with the contract. If, in the event of a complaint, the buyer has not paid the outstanding purchase price, the seller can postpone the correction until the outstanding purchase price is paid.

9. FEE
In the event of a breach of this sales contract, the affected party may demand compensation for documented financial loss according to the general principles for compensation in contractual relations with the following limitations:

A. Any form of indirect loss is not covered, such as loss due to business interruption, loss due to deprivation, loss due to a contract with a third party that breaks down or is not properly fulfilled, or damage to something other than the product.

10. SOFTWARE/COMPUTER EQUIPMENT
The customer acquires the right to use the delivered software for use on the equipment to which it was delivered. The customer has no right to copy this to others in any form. For security reasons, the customer may take a copy of the supplied software and keep it in a safe place. All standard programs are subject to the terms included by the individual software vendors.

11. SALES DEPOSIT
The seller has a pledge (sales pledge) on the sold items as security for his claim on the purchase price plus interest and costs.

12. CONFIDENTIALITY
The contracting parties will not allow unauthorized persons access to data related to the technical capacities, personnel conditions, business analyzes and calculations of the other contracting party, as well as trade secrets that the party learns in connection with the conclusion of the contract and the execution of the contract. delivery.

13. RETURN/CANCELLATION
The purchased equipment can only be returned with the written consent of the seller, and at the risk and expense of the buyer. The return of specially ordered goods, goods whose purchase price is less than NOK 1,000 or goods with a limited shelf life is not accepted. Returned equipment is recognized in the ratio of the selling price determined by the seller, taking into account the lost gross profit and incurred costs, and a maximum of 70% of the selling price.

14. USE

VWR consumable products are intended for use in accordance with the available documentation and manufacturer's specifications at the user's own risk. For certain products (active pharmaceutical ingredients) the customer must contact VWR's local sales organization.

If the customer intends to use these products in pharmaceutical, cosmetic, food production or other purposes, the customer must conduct his own internal research and checks to ensure that they comply with local laws and regulations (eg European Pharmacopoeia, etc.). Under no circumstances will VWR be liable if the customer uses a product not intended for this use. It is the buyer's responsibility to comply with all applicable health, safety and other regulations and to take the necessary measures in relation to the storage, handling, sale and use of the product.
